These terms

These terms apply when you use the ManuFx website and platform. You accept them when you create an account, on your own behalf and for the company you act for. If you do not agree, please do not use ManuFx.

Each quote and purchase order carries its own terms, fixed when it is issued. For that order, the document’s terms apply, and they take precedence over these terms where the two differ.

Accounts and verification

• ManuFx is for businesses and the people they authorise. Please give accurate details and keep them up to date.
• Companies are verified before they trade. We may ask for registration, tax and other documents, and we may decline or pause a company that does not pass verification.
• Each company’s Admins make its commitments on ManuFx, such as accepting a quote or a purchase order, or cancelling an order.
• Keep your password to yourself. You are responsible for what is done with your account, and you should tell us straight away if you think it has been misused.

How ManuFx works

ManuFx is the other party to every order. A customer buys from ManuFx: we issue the quote and the invoice. We place the work with manufacturers from our network under our own purchase orders. Customers and manufacturers do not contract with each other, and we keep their identities from each other.

If a manufacturer cannot complete the work, we may place it with another qualified manufacturer. The quote you accepted stays as agreed.

Quotes and orders

• A quote shows the full price for the parts, their quality checks and, where we deliver, the logistics. It is valid for 30 days unless it says otherwise.
• An order is formed when your company’s Admin accepts the quote on ManuFx.
• Parts are made and inspected against the specification agreed in the order, and nothing is dispatched before it passes inspection.
• Delivery and payment follow our Shipping & Delivery and Payments & Settlement pages, and the terms of the order itself.

For manufacturers

• We send requirements to verified manufacturers to quote, and we place work with our own purchase orders. Accepting a purchase order commits your company to it.
• Make parts to the purchase order and its drawings, and let us inspect them before dispatch.
• Use a customer’s drawings and information only for the work we give you, keep them confidential, and do not try to find out who the customer is or contact them.

Your files and ideas

You keep ownership of your drawings, specifications and other files, and of the ideas in them. You allow ManuFx, and the manufacturers we choose for your work, to use them only to quote, make, inspect and deliver your parts. We share them without your company’s name.

You confirm you have the right to share what you upload, and that doing so complies with the law, including any export controls on it.

Fair use of the platform

Please do not use ManuFx for anything unlawful; try to reach around ManuFx to deal directly with the other side of an order; try to identify a customer or manufacturer we keep private; upload anything harmful; or interfere with, overload or copy the platform.

Cancelling an order

Your company’s Admin can cancel an order on ManuFx until we have placed it with a manufacturer; after that, ask us to cancel it. We may cancel an order before it is dispatched. Cancelling ends the purchase orders behind it. What happens to money already paid is set out in Payments & Settlement.

Suspension and closing accounts

We may suspend or close an account that breaks these terms or puts other users at risk. You can ask us to close your company’s account. Orders already placed continue under their own terms.

Our responsibility

Our responsibility for an order is set by the terms of that order. We work to keep the website and platform available and accurate, but we cannot promise they will always be uninterrupted or free of errors. As far as the law allows, we are not responsible for indirect losses, such as lost profit or business.

Law

These terms are governed by the laws of India.

Changes to these terms

When we change these terms, we publish the new version here with its date. Orders already placed keep the terms they were placed under.
